All content published on this website--including but not limited to text, graphics, logos, product images, technical specifications, design drawings, software, and documentation--is the exclusive intellectual property of our company or our licensors and is protected by applicable copyright, trademark, patent, and trade secret laws.

3.1 Our Intellectual Property

Our proprietary designs, manufacturing processes, firmware, software algorithms, and product innovations remain our exclusive property at all times. No license or right is granted to you by implication or otherwise, except as explicitly stated in a signed written agreement.

3.2 Customer-Provided Materials

When you provide us with designs, specifications, logos, or other materials for OEM/ODM customization purposes, you represent and warrant that you own or have the right to use such materials and that their use by us in fulfilling your order does not infringe upon any third-party intellectual property rights. You grant us a limited, non-exclusive license to use such materials solely for the purpose of fulfilling your order.

3.3 Custom Product Ownership

Unless otherwise agreed in writing, ownership of custom-designed tooling, molds, and specialized components created specifically for your order shall be governed by the terms set forth in the individual purchase agreement or OEM/ODM contract executed between the parties.

4.1 Quotations and Order Placement

All quotations provided by us are valid for a period specified in the quotation document and are subject to change without notice thereafter. An order is deemed accepted only upon receipt of our written order confirmation.

4.2 Custom Specifications

For OEM/ODM orders, you are responsible for providing accurate and complete technical specifications. We will manufacture products in accordance with the agreed specifications. Any deviation requested after production has commenced may result in additional charges and revised delivery timelines.

4.3 Minimum Order Quantities

Custom orders may be subject to minimum order quantities (MOQ) as specified in the quotation. Sample orders may be available and are subject to separate pricing and terms.

4.4 Payment Terms

Payment terms, including deposit requirements, milestone payments, and final payment schedules, will be specified in each individual purchase agreement. All prices are quoted in US Dollars (USD) unless otherwise stated. We reserve the right to withhold shipment until full payment has been received.

4.5 Delivery and Risk of Loss

Delivery timelines are estimates and are not guaranteed. Risk of loss and title pass to the buyer upon handover to the carrier at our facility, unless otherwise agreed in writing. We are not liable for delays caused by force majeure events, customs clearance issues, or carrier failures.

Both parties acknowledge that in the course of business discussions, quotations, and product customization, confidential information may be exchanged. "Confidential Information" includes, but is not limited to, technical drawings, design files, pricing, business plans, product roadmaps, and proprietary manufacturing processes.

Each party agrees to: (a) maintain the confidentiality of the other party's Confidential Information using at least the same degree of care as it uses for its own confidential information, but not less than reasonable care; (b) use Confidential Information only for the purpose of fulfilling obligations under the relevant agreement; and (c) not disclose Confidential Information to third parties without prior written consent.

These confidentiality obligations survive the termination of any agreement between the parties for a period of five (5) years, unless a separate Non-Disclosure Agreement (NDA) with different terms has been executed.

We do not warrant that:

• The website will be uninterrupted, timely, secure, or error-free.
• The information or content on the website is accurate, complete, reliable, or current.
• Any defects in the website or its content will be corrected.

Product specifications and technical data sheets provided on the website are for informational purposes only. Actual product performance may vary based on operating conditions, application requirements, and installation environments. Customers in safety-critical industries--including medical devices, aerospace, and automotive--are solely responsible for conducting their own validation and compliance testing prior to deployment.

Our total cumulative liability to you for any claims arising out of or related to these Terms or our products shall not exceed the total amount paid by you to us for the specific products or services giving rise to the claim in the twelve (12) months immediately preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting the personal and business data of our customers in compliance with applicable data protection laws, including the General Data Protection Regulation (GDPR) for our European customers and applicable U.S. privacy regulations.

We collect and process personal and business information--such as contact details, company information, and project requirements--solely for the purposes of responding to inquiries, processing orders, and maintaining business relationships. We do not sell or rent your personal information to third parties.

Business contacts in the European Economic Area (EEA) have rights including the right to access, rectify, erase, restrict processing, and data portability where applicable. To exercise these rights, please contact us using the information provided in Section 11.

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. For customers located in the United States or the European Union, specific statutory rights under applicable local laws shall also apply where required by law.

9.2 Dispute Resolution

The parties agree to attempt to resolve any dispute arising out of or relating to these Terms or our products and services through good-faith negotiation in the first instance. If the parties are unable to resolve the dispute through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its arbitration rules. The arbitration shall be conducted in English, and the arbitral award shall be final and binding.

9.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as part of a class, consolidated, or representative action.

We reserve the right to modify, update, or replace any part of these Terms at any time at our sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page and, where feasible, provide reasonable notice to registered users or business contacts.

Your continued use of our website or services following the posting of updated Terms constitutes your acceptance of those changes. We encourage you to review this page periodically to stay informed of any updates.

If you do not agree to the revised Terms, you must discontinue your use of our website and services and notify us in writing to terminate any ongoing business relationship.
